Agreement Overview

These Terms govern Somnio Tech's website and software development services. By using the site or hiring us, you agree to them.

Services Provided

Somnio Tech provides these software development services:

  • Mobile application development (Vue.js + NativeScript/Ionic)

  • AI-powered MVP development

  • Learning Management Systems (LMS)

  • Security solutions and consulting

  • Technical architecture consulting

Project Engagement

Quotes and Proposals

  • All project quotes are valid for 30 days unless otherwise specified

  • Fixed-price projects require detailed scope documentation and approval

  • Hourly rate projects will be billed based on actual time spent

  • Scope changes may result in additional charges and timeline adjustments

Project Timeline

  • Project timelines are estimates based on the approved scope

  • AI MVP projects: typically 12 weeks, depending on complexity

  • Custom applications: timelines depend on features and integrations

  • Client delays in feedback or materials may extend timelines

Payment Terms

Payment Schedule

  • Fixed-price projects: 50% deposit required to begin work, remainder due upon completion

  • Hourly projects: billed weekly or bi-weekly as agreed

  • Large projects may be divided into milestones with phased payments

  • All invoices are due within 30 days of receipt

Late Payments

  • Late payments may incur a 1.5% monthly service charge

  • Work may be suspended on accounts with overdue balances

  • Source code and deliverables may be withheld until payment is received

Intellectual Property

Client Ownership

  • Upon full payment, clients own all custom code developed specifically for their project

  • Clients own all content, data, and materials they provide

  • Final deliverables include source code, documentation, and deployment instructions

Somnio Tech Retention

  • We retain ownership of our development methodologies and proprietary tools

  • General knowledge and experience gained remain our intellectual property

  • Open-source components remain under their respective licenses

Warranties and Support

Limited Warranty

  • We guarantee our code will function as specified in the agreed requirements

  • Bug fixes for specification deviations are provided at no charge for 30 days

  • AI MVP projects include 2 weeks of post-launch support

  • Support beyond warranty period available at standard hourly rates

Limitations

  • We are not responsible for third-party service outages or changes

  • Hosting, domain, and infrastructure maintenance are client responsibilities

  • New feature requests are considered scope changes and may incur additional charges

Limitation of Liability

Somnio Tech's liability is limited to the amount paid for the specific project. We are not liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits, data, or business opportunities

  • Issues arising from client modifications to delivered code

  • Third-party service failures or security breaches

Confidentiality

We keep client information and project details confidential. We will not disclose:

  • Proprietary business information or trade secrets

  • Technical implementations or code details

  • Client data or user information

  • Project timelines, budgets, or strategic information

We may use general project descriptions (without client identification) for portfolio purposes with prior approval.

Termination

Client Termination

  • Clients may terminate projects with 14 days written notice

  • Payment is due for all work completed to termination date

  • Partial deliverables will be provided for completed work phases

  • Deposits are non-refundable for work already performed

Somnio Tech Termination

  • We may terminate for non-payment after 30 days notice

  • Immediate termination for breach of contract or unethical behavior

  • Completed work will be delivered and payment adjusted accordingly

Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control. Examples include:

  • Natural disasters

  • Government actions

  • Internet outages

  • Other unforeseeable events

Governing Law

These Terms are governed by the laws of Louisiana, United States.

Disputes will be resolved through binding arbitration in Louisiana or through Louisiana state courts.
